ORIGINAL PORTIA CLUB 1921 ARTICLES OF INCORPORATION
FOR THE STATE OF IDAHO


ARTICLES OF INCORPORATION
       - of -
PORTIA CLUB
       - of -
PAYETTE, IDAHO.



KNOW ALL MEN BY THESE PRESENTS That we, the undersigned, have this lst day of February, A. D. 1921, voluntarily associated ourselves together for the purpose of forming a corporation under the laws of the State of Idaho, and we hereby certify as follows:


- FIRST -

That the name of this Corporation shall be "Portia Club."


- SECOND -

That the objects for which this Corporation is formed are as follows:

1.- To promote the mutual improvement of its members and the encouragement and assistance in every practical way that may enhance public convenience and health; and to raise the standard of the community along literary, social, civic and intellectual lines.

2.- To acquire by gift, grant, purchase, devise, lease or otherwise, real and personal property and to own, hold, use and enjoy the same in such manner as shall be determined by the said Corporation.

3.- To sell, release, mortgage, exchange, lease or encumber any or all of its property at such times and in such manner as said corporation shall determine and to borrow money and issue evidence of indebtedness for the same in such form as may be deemed advisable by the Corporation.

4.- To erect or cause to be erected a Club House or Club Building for the use and accommodation of its members and for such other purposes as may be determined by the Corporation.

5.- To do any and all other things or acts permitted by the laws of the State of Idaho for the purpose of carrying into effect any of the objects of such Corporation.


- THIRD -

That the principal place of business of said Corporation shall be the City of Payette, County of Payette, State of Idaho.


- FOURTH -

That the term for which said corporation is to exist is fifty (50) years from and after the date of its incorporation.


- FIFTH -

That this Corporation shall have no capital stock.


- SIXTH -

That the number of the Directors of said Corporation shall be six, divided into three groups as follows: two, who shall hold their offices until the second Monday in April, A. D. 1922, and until their successors are elected and qualified; two, who shall hold their offices until the second Monday in April, A. D. 1923, and until their successors are elected and qualified; two, who shall hold their offices until the second Monday in April, A. D. 1924, and until their successors are elected and qualified; that hereafter, and beginning with the election to be held upon the second Monday in April, A. D. 1922, and at the annual election date in each year thereafter, there shall be elected two new Directors to fill the vacancies created by the two retiring Directors, which newly elected Directors shall hold their offices for a term of three years next following their election and qualification, and until their successors are elected and qualified.


- SEVENTH -

That, at a duly called meeting of the members of said Portia Club held at the Y. M. C. A. Building in the City of Payette, Idaho, at the hour of 2:30 o'clock P. M. upon Monday, the 31st day of January, A. D. 1921, an election of temporary officers and permanent Directors was held with the following result, to-wit:

Mrs. F. H. Hogue and Mrs. A. E. White were duly elected to the offices of Chairman and Secretary of said meeting respectively, and the following are the names and residences of the members of the first Board of Directors for said Corporation: For the short term ending upon the second Monday in April, A. D. 1922, or when their successors are electer and qualified:

Mrs. F. H. Hogue and Mrs. W. A. Coughanour;

For the intermediate term ending upon the second Monday in April, A. D. 1923, or when their successors are elected and qualified;

Mrs. J. H. Helman and Mrs. T. D. Landon;

For the long term ending upon the second Monday in April, A. D. 1924, or when their successors are elected and qualified:

Mrs. R. A. Crump and Mrs. J. P. Walker;

That all of the individuals elected to fill said offices were and are bona fide residents of the County of Payette, State of Idaho.


- EIGHTH -

That notice of the time and place of holding said meeting and election, in paragraph seventh hereof referred to, was given by publication at least two weeks in the "Payette Enterprise" and the "Payette Independent", both being weekly newspapers published in the City of Payette, County of Payette, State of Idaho, being the City in which such election was held, and also by posting a like notice in a conspicuous place on the Y. M. C. A. building in the City of Payette, Idaho, same being the building in which such election was to be and was held, for the same length of time.


- NINTH -

That, by a resolution adopted at the meeting in the last two preceding paragraphs referred to, the following individuals, all bona fide residents of the County of Payette, State of Idaho, and members of the said Portia Club, were elected and authorized and directed to make and certify to these Articles of Incorporation, to-wit:

Mrs. Albert White, Sr.
Mrs. T. D. Landon
Mrs. D. C. Chase
Mrs. William Maule
Mrs. J. A. Lauer
Mrs. R. A. Crump
Mrs. D. W. Ainey
Mrs. Chris Hendrickson
Mrs. L. V. Patch

IN WITNESS WHEREOF We have hereunto set our hands this 1st day of February, A. D. 1921.

On this 1st day of February A. D. 1921, before me, J. H. Helman, a Notary Public in and for said County and State, personally appeared Mrs. Celia Moss, Mrs. W. A. Coughanour, Mrs. May McGlinchey, Mrs. Albert White, Sr., Mrs. T. D. Landon, Mrs. D. C. Chase, Mrs. William Maule, Mrs. J. A. Lauer, Mrs. R. A. Crump, Mrs. D. W. Ainey, Mrs. Chris Hendrickson and Mrs. L. V. Patch, personally known to me to be the persons whose names are subscribed to the within and fore-going Articles of Incorporation of Portia Club and they severally acknowledged to me that they executed the same.


IN WITNESS WHEREOF I have hereunto set any hand and affixed my official seal the day and year in this certificate first hereinabove written.

MRS. F. H. HOGUE and MRS. A. E. WHITE, being first duly sworn, according to law, each for herself, depose and say: That they were the Chairman and Secretary, respectively, of the meeting mentioned in paragraph Seventh of the foregoing Articles of Incorporation of Portia Club, and that they were the officers that conducted the election then and there held; that, pursuant to notice given by publication in a newspaper published in the City of Payette, Idaho, for more than two weeks next preceding the same, at the hour of 2:30 o'clock P. M. upon Monday, the 31st day of January, A. D. 1921, a meeting and election of the members of Portia Club was held in the Y.M.C.A. Building in the City of Payette, Idaho, as also set forth in paragraph Seventh of the foregoing Articles of Incorporation of said Portia Club; that at such election there were chosen six Directors as set forth in paragraph Seventh of said Articles of incorporation; that a majority of the members of said Portia Club present at such meeting voted at such election; that affiants have read the within and foregoing Articles of Incorporation of said Portia Club and know the contents thereof and that all matters and things therein set forth are true of their own knowledge.
